Lindsay Trapp is a dual American and Irish qualified lawyer who joined Dechert in 2011 after four years with Irish Funds as Executive Officer of Legal and Technical.
Ms. Trapp’s practice focuses on assisting U.S. and European asset managers and sponsors in the formation of private funds and SPVs including an emphasis on the structuring and establishment of cross-border US, European and offshore structures as well as assisting with post-establishment compliance and distribution. Ms. Trapp provides specialist advice in relation to the structuring, setup and compliance of regulated and unregulated private funds/AIFs globally, particularly private credit, private equity, CLO equity, funds of closed-end funds and property funds as well as hybrid hedge and liquid multi-credit funds. Included in her formation work is upper tier structuring for sponsors. Ms. Trapp also works closely with Dechert’s Finance and Real Estate Group in the formation of Irish domiciled securitization and risk retention vehicles on a standalone basis and as part of fund structures.
In addition to advising US and European clients on the establishment of private funds, Ms. Trapp provides in time zone advice on AIFMD related issues for US clients and deal teams and provides European clients with assistance regarding the requirements for managing and marketing foreign funds into the United States.
Ms. Trapp also provides advice to institutional investors in relation to investments in private funds domiciled in a variety of jurisdictions.
Ms. Trapp is a Dechert internal expert in relation to Irish partnership structures. She is currently a member of the Irish Funds AIF Product and Innovation Working Group and the Investment Limited Partnership Legislative Working Group, serving as co-chair of its Limited Partnerships Act 1907 sub-group.
